The Legal Committee's first event of 2023 will cover three key legal highlights of the last year. Join us to stay updated on legal developments that affect your business and ask your questions directly to the legal experts on the call. Topics include:
- The Foreign Business Act. Pornapa Luengwattanakit and Yi Jawon of Baker & McKenzie will discuss the issue of illegal nominees and provide examples of penalties that have been imposed.
- The Thai Anti-Corruption Law. Previous legal events have focused on the US FCPA, the UK Anti-Bribery Act, and other foreign regulations, but the Thai Anti-Corruption Law has immediate relevance to businesses here. Nat Uawithya of Legal Concepts will provide updates.
- The Long Term Resident (LTR) Visa. The introduction last year of the LTR visa has the potential to affect many AMCHAM members, many of whom are in the vanguard of those applying for the new visa. Thanyaluck Thongrompo of Kudun and Partners will speak on this new program.
About the Speakers:
Pornapa Luengwattanakit, Partner, Baker & McKenzie. Pornapa heads the International Commercial & Trade Practice Group, and co-heads the Tax Practice Groups at Baker McKenzie, where she has been partner since 1989. In her public role, Pornapa served as a member of the NLA Ad-Hoc Committee Considering the Draft Trade Competition Act, as well as the Draft Customs Act. She served as a member of the Trade Competition Commission, including various subcommittees and working groups of the government authority in charge of Trade Competition law, such as the subcommittee on prescription of business merger criteria. She has also provided advice on the subordinated legislation issued by the Trade Competition Commission.
Yi Jaywon, Consultant, Baker & McKenzie. Jaywon is active in the Corporate & Commercial, M&A, and Trade Competition Practice Groups and is a key senior associate in the competition practice group at Baker McKenzie. Jaywon's area of expertise include M&A, trade competition and foreign direct investments. Jaywon has been involved in many high-profile M&A deals and assisted clients on various matters including drafting and negotiating transaction documents. She also advised clients on merger control regulations and merger analysis relating to various industry sectors.
Nat Uawithya, Managing Partner, Legal Concept Law Office. Nat has been practicing law with international law firms for almost 2 decades. He has broad experience in many areas of corporate law including compliance with Thai law, particularly Thailand’s anti-corruption laws and regulations. Nat works with Douglas Mancill under a contractual arrangement between Legal Analytics and Advocacy (Thailand) Limited and Legal Concept Limited.
Thanyaluck Thongrompo, Partner and Head of Permits and Licensing, Kudun and Partners. Thanyaluck has over 18 years of experience advising local and international clients, including establishing and registering legal entities, advising on mergers and acquisitions, conducting legal due diligence, dealing with licenses, permits and contracts related to Industrial Estate Authority of Thailand (“IEAT”) incentives, Board of Investment (“BOI”) incentives as well as tax exemptions, personal data protection, intellectual property and banking services. She also advises international clients on foreign ownership structures and restrictions, corporate and commercial matters, employment, visas and work permits and more.
